1. Purpose and Acceptance

These Terms of Use & Conditions of Sale (“Terms”) govern access to our website and the purchase, use, and resale of Knotty Body products (“Products”). By accessing the website or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the website or purchase the Products.

These Terms are governed by the laws of Victoria, Australia, and subject to the jurisdiction of the Victorian courts and applicable Commonwealth laws.

2. Definitions

Knotty Body, we, us, our – Knotty Body Australia Pty Ltd, its directors, employees, contractors and authorised representatives.

Customer, you, your – any purchaser, user, practitioner, clinic, retailer or distributor of the Products.

Website – www.knottybody.com.au and any other online platform operated by Knotty Body.

Professional – a qualified health practitioner (e.g., osteopath, physiotherapist, chiropractor, myotherapist, remedial therapist) purchasing for clinical use.

Wholesale/B2B – an approved clinic, retailer, distributor or business purchasing Products for resale.

3. Eligibility

(a) To purchase Products you must be 18+ and able to enter legally binding contracts.

(b) Products are suitable for consumer retail and professional clinical use. Professionals must use Products consistent with their professional obligations and applicable health regulations.

(c) Wholesale/B2B resale requires approval of an account and compliance with Section 12 (Resale & Marketplace Policy).

4. Orders & Contract Formation

(a) Orders are placed via the Website or through authorised channels. Submitting an order is an offer to buy Products. We may accept or decline at our discretion.

(b) An order is deemed accepted when we issue order confirmation or dispatch the Products.

(c) Orders may be cancelled prior to dispatch only with our written approval.

(d) If we cannot fulfil any portion of an order due to error or unavailability, we may cancel or adjust and refundaccordingly.

5. Pricing, Taxes & Payment

(a) Prices are in AUD and include GST unless stated otherwise.

(b) Payment is required at checkout (Shopify Payments, credit/debit cards, PayPal, Buy-Now-Pay-Later, or as displayed).

(c) Approved Wholesale/Trade accounts: payment is strictly 30 days from invoice unless otherwise agreed. Overdue balances accrue 2% per month interest (calculated daily).

(d) We may suspend supply for late/non-payment or breach of Terms.

(e) We may change prices or shipping fees at any time (not applied to already-accepted orders).

6. Title & Risk

(a) Title remains with Knotty Body until paid in full.

(b) Risk passes to you upon delivery to your nominated address or carrier.

(c) If payment defaults, we may recover goods in your possession.

7. Delivery & Shipping

(a) Shipping methods, fees and estimated timeframes are shown at checkout.

(b) Delivery times are estimates only; we are not liable for delays outside our control.

(c) Claims for damaged, missing or incorrect items must be made within 7 days of delivery with supporting evidence (e.g., photos, packing slip, order number).

(d) Orders that meet any current free shipping threshold (as advertised on our Website) may qualify for free shipping within Australia.

8. Returns, Refunds & ACL

(a) We comply with the Australian Consumer Law (ACL). If a Product is faulty or not of acceptable quality, you are entitled to a repair, replacement, or refund as required by law.

(b) Change-of-mind returns are not accepted once Products are opened, used or altered.

(c) To request a return, contact info@knottybody.com.au within 7 days of delivery. Approved returns must be received in original condition and packaging.

9. Product Use & Safety

(a) Products are for external use only.

(b) Always follow label directions and professional guidance.

(c) Patch testing is recommended for sensitive skin.

(d) We are not liable for misuse, improper application, or individual allergic reactions.

10. Product Development & Testing

(a) Products are developed and tested on humans for quality and performance.

(b) Knotty Body does not conduct or commission animal testing.

11. Intellectual Property

(a) All intellectual property in formulations, trade marks, packaging, artwork, copy, website content and marketing assets remains the property of Knotty Body Australia Pty Ltd.

(b) You must not reproduce, alter or distribute our IP without prior written consent.

(c) Approved stockists may use supplied assets solely to promote genuine Knotty Body Products.

12. Resale, Wholesale & Marketplace Policy (B2B & Professional Supply)

This section applies to Professional and Wholesale/B2B account holders.

12.1 Account Approval & Use

(a) Opening a wholesale/professional account requires application and written approval. We may request evidence of business registration, clinic status, qualifications and intended sales channels.

(b) Account credentials are not transferable and must be kept secure. We may suspend or terminate for breach.

12.2 Minimums, Pricing & MAP

(a) We may set minimum order quantities (MOQs), carton multiples or case packs.

(b) Where published, you must comply with our Minimum Advertised Price (MAP) policy. Promotional pricing requires written approval.

12.3 Channel Restrictions

(a) You may sell: (i) in-clinic; (ii) on your own branded website; and (iii) through approved retail locations.

(b) You must not list or resell on unauthorised marketplaces (including eBay, Catch, Facebook Marketplace, Gumtree or comparable platforms) without our prior written consent.

(c) We may authorise selected channels (e.g., Amazon, pharmacy chains, major retailers). Unauthorised listings may result in immediate account termination, order cancellation, refusal of supply, and/or legal action.

12.4 Brand Presentation

(a) Use accurate descriptions and imagery. Do not make therapeutic claims beyond approved label statements.

(b) Do not repackage, decant or alter Product, labels or batch codes. Counterfeit or tampered goods will be referred to authorities.

12.5 Returns & Stock Rotation

(a) You are responsible for proper storage (cool, dry, away from direct sunlight).

(b) We generally do not accept returns of overstock/slow-moving inventory unless required by law or agreed in writing.

12.6 Termination

We may suspend or terminate wholesale/professional privileges immediately for breach, non-payment, reputational harm, safety concerns, counterfeit activity or marketplace violations.

13. Liability & Disclaimers

(a) To the extent permitted by law, we exclude all liability for indirect, special or consequential loss, loss of profit, revenue, goodwill or anticipated savings.

(b) Where liability cannot be excluded under the ACL, our liability is limited, at our option, to:

• replacing the goods or supplying equivalent goods;
• repairing the goods; or
• refunding the purchase price.(c) Website content is provided “as is” for general information. We do not guarantee uninterrupted access, error-free operation, or freedom from harmful code.

14. Website Use

(a) You must not copy, scrape, frame, reverse engineer or exploit the Website or its content.

(b) You must not upload unlawful, infringing or harmful content or attempt to bypass security.

(c) We may alter or withdraw the Website at any time.

15. Privacy

We collect and handle personal information in accordance with our Privacy Policy (available on our Website). By using the Website or purchasing Products, you consent to that handling.

16. Amendments

We may update these Terms at any time. The latest version is published on our Website and applies from the effective date. Your continued use or purchase constitutes acceptance.
